Secret Meeting Haunts Westridge School Head in Share Fraud Case

A former secretary for local company T&J Investments (Pvt) Ltd told a Harare magistrate that Westridge Primary School headmaster Thakorbhai Kanjee (73) and his wife, Jaya Kanjee (71) held a meeting to increase their shareholding in the absence of another director.

​Kanjee and his wife, who are also directors of the company, are facing fraud charges involving the unauthorised inflation of their shares in the family-owned business.

The complainant in the matter is Neeshta Urmila Patel.

​Devine Kadawu told the court that her firm handled company secretarial work for T&J Investments from 2024 to 2025.

​”Patel became a director sometime in May 2024, and our company filed the CR6 to appoint her as a director. She held a 20 percent stake, while Kanjee and his wife had 10 percent each,” she said.

​Kadawu told the court that another meeting was held without Patel in August 2024, where Kanjee and his wife were allocated an additional 10 percent each, after which another CR6 was filed.

​”It was a short meeting. Those present were Mr. Kanjee, myself, and Mrs. Kanjee. Ms. Patel was not present,” she said.

​According to Kadawu, a resolution was submitted to the Registrar of Companies.

​The State, represented by Lawrence Gangarahwe, alleges that on August 16, 2024, Kanjee and his wife submitted a forged resolution to the Registrar of Companies, claiming it had been approved by all directors to alter the shareholding structure.

​Acting on this alleged misrepresentation, the Registrar processed the changes, resulting in each accused gaining 10 additional shares without Ms. Patel’s knowledge or consent.

​It is the State’s case that these actions prejudiced the proper administration of the company.

​The matter was remanded to September 7 for the continuation of trial.
